APPOINTMENT OF NEW TRUSTEE AND NOTIFIABLE INTEREST IN SHARES
Good Energy Group PLC ("the Company") announces that it has today appointed Clarke Willmott Trust Corporation Limited ("CWTC") as the new Trustee of the Good Energy Group Employee Benefit Trust (the "Trust") in place of the outgoing Trustee, Monkton Trustees Limited. As part of this transaction, Monkton Trustees Limited has transferred to CWTC its entire holding of 915,500 ordinary shares in the Company so that CWTC now has a legal interest in 11.71% of the issued share capital. All these shares will continue to be held on behalf of the Trust whose beneficiaries are the employees of Good Energy Group PLC. In commenting on this transaction, the Chairman of the Company, John Sellers, said " This transaction represents a further improvement in our Corporate Governance. The out-going Trustee was a subsidiary of the Company and notwithstanding that its affairs were regulated by a Trust Deed, it has been judged better to appoint a fully independent Trustee. Moreover, the Board has been advised that under the previous arrangement this shareholding would be aggregated with the individual shareholdings of the Company's directors for the purposes of the Takeover Code, thereby restricting the entitlement of the Directors or the Trust to deal in Company shares since the combined holding represented in excess of 30% of the issued share capital. The new arrangement reduces the relevant aggregate to 22.4%." Steven Howells of CWTC said "We are delighted that we have been able to help Good Energy by taking take on this role.
